CRR/SPECIAL ROAD DISTRICT (SRD) REGULAR MEETING

 

Monday night’s (03/04/24), SRD Meeting was called to Order by Chairman Lynn Breeden at 6:00 p.m. Meeting concluded about 7:45 p.m.

After Flag Salute, ROLL CALL was held and all Directors present-Chairman Lynn Breeden and Ed Thompson. CRR Road Supervisor Jordan Jones did not attend.

Ranch Director Ara Erdekian in attendance.

ITEMS OF INTEREST

Vacant SRD position only had one applicant, resident Mike Wilcox and Breeden decided to hold off appointing the replacement until the next meeting.

Chairman Breeden’s HOA MEETING (2/19) REPORT:

Breeden: “I tried to initiate a project funded by the SRD, to the HOA. Trying to save some money. Trying to figure out how it works and it how it gets on a schedule. Basically, I got shut down. Mr. Ara here, was instrumental in that…”

Breeden continued: “Upon a little deeper digging, I finally found the answer to a few of the things that I’ve had questions about. Brian (Morgan) came to us last month wanting to know about Peninsula and what to do about it. The SRD has total control over the roads in here.”

“According to the agreement signed June of 2021, the latest one-they revised about every five or six years and it keeps getting worn down a little bit, a little bit. The SRD has control and the HOA is supposed to provide us with a list of what they plan on doing in the next six months-its been six months have you seen anything?”

“Clearly the SRD and the HOA are in violation of their agreement…” “The Road Agreement and the HOA’s responsibilities are all in their Road Primer…”

Breeden conducted an informal Q&A and members, Michelle Parcel, Brian Morgan, Carol Orr, “Mike’ and Ranch Matters weighed in.

Breeden elaborated on the June 2021, Breach of Contract and stated it’s recorded with Jefferson County. He briefly explained the terms, conditions and the relationship between the SRD and HOA. “How things are supposed to be handle between the two entities.” “Do I go to a lawyer…?”

Brian Morgan asked: “As far as the liability on the roads, that’s a question I’ve been asked. Let’s say a road hasn’t been constructed correctly and we have an issue, who is liable?”

Breeden responded: “The SRD has primary control” and Brian added: “So, it’s a policy through the SRD and in that event, that should substantiate control. Breeden, “exactly.”

Morgan continued, but was concerned he was taking up too much time and apologized. Breeden responded: “Unlike the other meetings that go on here you’ve got all the time you want.”

Their exchanged continued and Breeden stated: “Because of the uproar at the SRD before we came-I can’t find anything.” Morgan: “I think the SRD has taken the back seat over the years…” “I really think you guys are on track…”

Morgan: “I said this last month, it sounds like everything is on him (Road Supervisor Jordan) and not everything should be on him. With you guys and your knowledge, he should be able to draw, which it sounds like he is with you because of your guys relationship. It sounds like he doesn’t have any more input and there should be some profiling, some grading, some staking and stuff that it takes to build roads, and I don’t see that.

So, I’m frustrated for him and it sounds like I’m badgering him because I’m asking questions and I don’t want to come off that way.

I WANT THAT TO BE PUBLICLY STATED, IN THE RECORD, I’M HERE TO HELP AND I’M NOT HERE TO CREATE ANY PROBLEMS, BUT I SEE THAT WE’RE NOT GETTING ANYWHERE…”

“THE FLOOR IS YOURS”

Breeden turned the floor over to Director Ara Erdekian for his comments and/or thoughts. Erdekian: “I’m here, I’m on the Road Crew, for the HOA.”

Ara explained what he learned from Brian Morgan’s comments from last month’s SRD meeting.

“I want to say, I WATCHED last months meeting where you stood up and you were here and Jordan was in this corner and you asked like 25 minutes of questions…”

“That was the best meeting.”

“I loved that meeting and that’s one of the reasons why I’m here, is because of that meeting.”

Erdekian: “Two weeks ago I was sick, we had a HOA meeting, where you (Breeden) stood up and was talking. Proposing a few different things and pretty much asking the same questions I’m hearing all the time and right now which is Who and What is the responsibility of the SRD? Who is supposed to do What?

 

Breeden: “Its in you’re own documents, sir.”

 

Erdekian: “We’re looking at the brains of the operation” as he pointed towards the SRD Directors.

Erdekian went on about the loss of one of the Directors last month and stated: “I want to see a third person up there and I want to see the brain trust back.”

Erdekian: “Some of the things I brought up…”

Breeden: “This is my meeting, sir”

Erdekian: “You shut me off?”

Breeden: “Yes I did.”

The exchange continued, focusing in part on road conditions, materials-quality, money spent and how to better coordinate/communicate the SRD activities with the HOA.

 

Breeden explained what some of his objectives were when speaking at the February 19, Regular Board of Directors meeting.

 

 

“I was trying to figure out how I’m supposed to coordinate that with you guys, and I think Judy’s (Ranch Manager Judy Lapora) response was,

 

‘WELL, THE SRD CAN BUY OUR ROAD DEPARTMENT,’

yes, that was said.”

SRD Director Ed Thompson: “Can we go back to the HOA Board and come up with a plan so we can have some interaction with Jordan, and, maybe come up with-map out the roads, come up a plan for each road…”

 

Breeden responded: “They’re supposed to be doing that now and they’re not.”

Thompson: “Well, we can offer an olive branch.”

Breeden: “I tried to offer an olive branch…”

Breeden allowed Erdekian to respond.

“The floor is yours again Ara and our meetings are run a little different that yours.”

Erdekian: “No, this is about the same.” Some in the audience voiced their disagreement.

 

Ara remarked that he attended the meeting to “listen and learn.”

 

Breeden: “I’m going to take my SRD hat off and throw it over here. What did you mean, when I was talking at the last meeting, about ‘MAN UP’?

 

Erdekian: “That was to the gentleman that quit.”

 

Breeden: “The gentleman that quit was gone for two weeks and I was standing there trying to do something and I got shot down.”

 

Erdekian: “Sorry you got shot down, I apologize for that meeting…”

“What happened in the last six months with the SRD and the lack of continuity, the lack of the hand off from the previous board to you two gentleman.”

Breeden: “That had zero to do with why I was standing there, zero.”

Erdekian confirmed he WATCHED the last SRD meeting and Ms. Breeden stated: “The last meeting was put up by John (Ranch Matters)…”

“THIS IS BROKEN”

Erdekian: “…I’ll go to Kari (Ranch President Kari Vickery) and Judy (Manager Lapora) and say we need to set up an open meeting with the HOA and the SRD are actually talking about this the next two months, not the next year.

I want to bring, like, the six things that seem the most important things to me from what I heard a month ago and what I heard just right. If that includes trying to figure out how to interpret, or mend, or understand how a document works, which is the link in our relationship-then so be it.

This IS BROKEN AND I AM SORRY…”

Breeden’s ending remarks: “I’ve probably said this before, what’s happened in the past, is the SRD kinda went their own way and took care of their pet projects and the HOA is over here and nobody’s talking to each other.”

Resident Michelle Parcel commented: “…I don’t think Jordan has the experience that a person needs to work in his position. He needs to get more education or we need to get someone in there that is more experienced…”

Resident Carl Orr commented: “You mentioned that the SRD and HOA were going their separate ways. Breeden: “Correct.” Orr: “I never saw it that way-Judy ran them both.

Whatever Judy wanted…” “The SRD and the HOA were meshed and the head of it was Judy Lapora.”

Breeden: “Let me clarify my statement and it might make more sense to you. Maybe not necessarily the power structure was going its separate ways, as far as the projects were doing were.”

Orr: “A lot of them were Judy’s projects.”

Morgan: “I hope communication can get better, I really do, it’s needed.”

Breeden: “We all know were not going to make everybody happy.”
