CROOKED RIVER RANCH WATER COMPANY-Special Board Meeting

Meeting started at 3:00 PM at the CRRWC Board Room-First Meeting with newly elected Board Member, Steven Proffitt

ROLL CALL: President Nate Russell, VP Jim Hussey, Secretary/Treasurer Sherry Loster, Archie McCawley and Steven Proffitt.

President Russell followed the AGENDA

General Manager Frank Day provided his managers report, that included, RESOLUTION 2019-004, RESOLUTION 2019-005, RESOLUTION 2019-006, FIRST AMENDMENT TO GENERAL MANAGER EMPLOYMENT AGREEMENT and CROOKED RIVER RANCH WATER COMPANY CONFIDENTIALITY/NON-DISCLOSURE AGREEMENT.

Member INPUT was welcomed and Ranch Matters (RM) asked for a status report regarding the Memorandum of Understanding (MOU) between the Ranch HOA and Water Company about the TelComm Lease. According to Frank Day, the proposals are in play and both Boards are reviewing them. Because incoming Water Board Member, Steven Proffitt is married to HOA Director, Stephanie Proffitt, we asked Mr. Proffitt how he would handle potential conflicts of interest between the two Boards. Mr. Proffitt stated he would “recuse himself” if a conflict arises.

Meeting concluded at 3:20 PM and Frank Day thanked all in attendance.
